Scope and acceptance of these terms
These terms provide the general basis for our website and consultancy services. The particular services supplied to a client will depend on the scope and commercial arrangements agreed for that assignment.
Website access does not, by itself, create a paid service contract. A service contract is formed only when the relevant offer or proposal has been accepted in accordance with the confirmation process agreed between the parties.
If a separate written agreement expressly varies a provision of these terms for a particular assignment, that provision will apply to the extent of the agreed variation. Mandatory legal rights are not affected.
If you are entering into a contract on behalf of a business or other organisation, you confirm that you are authorised to do so.
Our services
SHAK STARS LTD provides logistics planning and transport support consultancy intended to help smaller businesses and independent operators organise routine delivery and logistics activities.
Depending on the assignment agreed, services may include:
- Delivery planning and scheduling guidance.
- Transport option reviews and basic route-planning guidance.
- Logistics process reviews and operational recommendations.
- Supplier communication support within the agreed scope.
- General advice concerning routine logistics arrangements and the movement of goods.
Not every service includes every activity listed above. The exact deliverables, exclusions, schedule and any additional responsibilities will be confirmed for the relevant assignment.
Consultancy scope: Our core service is advice, planning and coordination support. Unless expressly agreed in writing and legally applicable, we do not act as the physical carrier of goods or represent ourselves as the operator of a transport fleet.
Enquiries, proposals and contracts
You may contact us through the website or using the contact details provided on this page. We may request further information to understand your requirements and determine whether the requested work falls within our service scope.
Submitting a contact form, sending an enquiry or receiving an initial acknowledgement does not automatically confirm a booking or create an obligation for us to supply a service.
Before a service begins, the applicable arrangements should be clarified, including:
- The service scope and intended deliverables.
- The applicable fee, payment arrangements and any agreed expenses.
- The estimated schedule and any material dependencies.
- The information or cooperation required from you.
- Any exclusions, third-party involvement or specific limitations.
Acceptance may be confirmed by written proposal, email, service confirmation or another method agreed by the parties. We will not treat an enquiry alone as acceptance of a paid service.
Client information and cooperation
To enable us to provide the agreed service, you should, where relevant:
- Provide accurate, current and sufficiently complete information.
- Explain relevant delivery requirements, operational constraints and priorities.
- Identify important deadlines, access restrictions and handling requirements.
- Respond to reasonable requests for clarification, documents or approval.
- Ensure that you are authorised to share information and documents supplied to us.
- Review recommendations and decide whether they are suitable for your circumstances.
- Obtain any permissions or approvals that are your responsibility.
We may need to revise the estimated schedule or discuss a change of scope if material information is missing, inaccurate or supplied late. Any additional work and associated fees will be discussed before proceeding where reasonably practicable.
Pricing, invoices and expenses
Fees and payment arrangements will be communicated or confirmed before the relevant paid service proceeds. The applicable fee may depend on the scope, complexity and deliverables of the assignment.
Any applicable taxes, expenses or additional charges will be explained where required before you become committed to the relevant arrangement. We will not rely on undisclosed charges that are inconsistent with applicable law.
Unless expressly included in the agreed scope, third-party carrier charges, supplier costs, storage charges and other external expenses are separate from our consultancy fees.
Where payment is required, the applicable confirmation or invoice will explain the amount due and the relevant payment arrangements. You should raise any apparent billing error promptly so it can be reviewed.
If a fee is disputed in good faith, the parties should communicate to clarify the issue. Nothing in these terms removes any right or remedy available under applicable law.
How our services are delivered
Depending on the assignment, we may provide written recommendations, planning notes, email communication, online discussions, process observations or other agreed consultancy deliverables.
Any estimated completion date or response timeframe will be discussed in relation to the scope, available information and complexity of the work. Unless expressly agreed otherwise, estimates are not guarantees of a specific operational outcome.
Where a material issue may affect an agreed schedule, we will aim to communicate the position and discuss reasonable next steps.
The service will be performed with reasonable care and skill where required by applicable law. Nothing in these terms removes statutory rights relating to service quality, conformity with agreed information or other applicable consumer protections.
For more detail, please read our Service Delivery Policy.
Carriers, suppliers and external providers
Some assignments may involve reviewing transport options or assisting with communication with carriers, suppliers or other independent providers. The extent of our involvement depends on the agreed scope.
Unless expressly agreed otherwise, we do not control a third party’s staffing, vehicle availability, operational decisions, charges, delivery performance or contractual terms.
A recommendation, comparison or coordination activity does not by itself mean that we have entered into a transport contract on your behalf, accepted custody of goods or undertaken the physical movement of goods.
Where you contract directly with a carrier or supplier, that provider’s terms will govern its services, subject to applicable law. Any complaint or claim concerning the provider may need to be directed to that provider.
If we are specifically authorised to perform an additional activity beyond consultancy, the parties should confirm the scope, authority, payment arrangements and responsibilities in writing before it begins.
Recommendations and operational results
Our recommendations are based on the instructions, information and circumstances available when the work is carried out. We may rely on information supplied by you or by third parties unless the agreed scope specifically includes verification.
Transport conditions, route restrictions, traffic, carrier capacity, pricing, supplier availability and delivery requirements may change. You should consider material changes before relying on an earlier recommendation.
Our consultancy is intended to support informed operational decisions. Unless a particular outcome has been expressly agreed and can lawfully be guaranteed, we do not promise a specific delivery time, cost saving, carrier performance or other result controlled by external circumstances.
You remain responsible for business decisions made using the advice provided, subject to our contractual obligations and any duties imposed by applicable law.
Use of materials and deliverables
Unless otherwise agreed in writing, intellectual property rights in our pre-existing materials, methods, templates and general know-how remain with their respective owners.
Once the applicable fees have been paid, you may use the deliverables created specifically for your assignment for your own internal business purposes, subject to any written terms agreed for that assignment and applicable law.
You must not represent our materials as your own original work for unrelated commercial resale, reproduce proprietary materials for distribution to third parties, or use them in a way that infringes another person’s rights.
Any licence or ownership arrangement that differs from these general terms should be confirmed in writing.
Confidentiality and data protection
Each party should take reasonable care when handling confidential business information received in connection with a service. Information should be used for the purpose for which it was provided, subject to the agreement and applicable law.
Confidential information may be disclosed where required by law, where reasonably necessary to obtain professional advice, or where disclosure is otherwise lawful and appropriate to fulfil the agreed service.
We handle personal information in accordance with our Privacy Policy. Please avoid sending unnecessary personal data or confidential information that is not relevant to your enquiry.
Further information about cookies and similar technologies is available in our Cookie Policy.
Cancellation, rescheduling and refunds
Requests to cancel or reschedule an agreed service should be sent to us using the contact details on this website. Please include the relevant service reference and the date of the original agreement, where available.
Refund eligibility will depend on the service agreement, the work already supplied, any applicable statutory cancellation rights and other legal requirements.
Where consumer distance-contract or off-premises cancellation rules apply, a 14-day cancellation period will generally be available for a service contract, subject to the relevant legal provisions and exceptions. If you ask us to begin the service during that period, additional requirements may apply.
Where a refund is due, we will process it in accordance with the applicable agreement and statutory deadlines. We will not use these terms to exclude a refund or other remedy that the law requires.
For full details, please read our Service Cancellation & Refund Policy.
Responsibility and limitations
Our responsibilities
We will provide the agreed consultancy services in accordance with the applicable agreement and any legal obligations that apply to us. Nothing in these terms excludes a duty or liability that cannot lawfully be excluded.
Matters outside our control
We are not responsible for independent decisions or operational performance of carriers, suppliers or other third parties merely because we have reviewed their options or assisted with communication. This does not exclude responsibility for our own acts or omissions where the law imposes liability.
Limits imposed by law
To the extent permitted by applicable law, liability will be assessed in accordance with the contract, the nature of the loss and the circumstances in which it arose.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or restricted.
Where you are a consumer, nothing in these terms removes your statutory rights, including applicable rights concerning reasonable care and skill, remedies for services that do not conform to the contract, or protection against unfair contract terms.
Any limitation of liability in a separate business-to-business agreement must be expressly agreed and will apply only to the extent permitted by law.
Questions and complaints
If you have a concern about our service, an invoice, a deliverable or the handling of an enquiry, please contact us and explain the issue. Include any relevant service confirmation or correspondence where possible.
We will review the information available and explain the next steps. Please see our Complaints Policy for further details of our complaint-handling process.
Website information and availability
We aim to keep the information on this website clear and relevant. General website content is provided to describe our business and services; it is not a substitute for the scope and terms confirmed for an individual assignment.
We may update website content from time to time. We do not guarantee that the website will always be available without interruption or that every item of information will be suitable for every individual business situation.
You must not misuse the website, attempt unauthorised access, interfere with its operation or use it for unlawful purposes. Nothing in this section limits any rights you may have under applicable law.
Governing law and other provisions
These terms and any dispute or claim arising from them will be governed by the laws of England and Wales, subject to any mandatory consumer protection rules that apply in the relevant circumstances.
The courts of England and Wales will have jurisdiction where applicable, without removing any mandatory rights a consumer may have to bring proceedings in another competent court.
If a provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A failure or delay in exercising a contractual right does not automatically amount to a waiver of that right.
We may update these terms when reasonably necessary. The terms applicable to an existing service will be determined by the agreement and applicable law; a website update will not automatically alter an existing contract where further agreement is legally required.
